These Terms of Use govern the use of our platform for the creation, development, and management of artificial intelligence (AI) chatbots. By accessing or using our platform, you agree to these Terms of Use. If you do not agree, please discontinue use immediately.

1. Acceptance of Terms

By creating an account or using the platform, you declare that you have read, understood, and agree to comply with these Terms of Use, as well as any additional policies mentioned, such as our Privacy Policy.

2. Service Description

Halk is a technology solution that allows users to create and manage AI chatbots for multiple purposes, including but not limited to:

Customer service;
Technical support;
Sales and marketing processes;
Creation of AI clones based on custom data or profiles;
Any other application as defined by the user.

3. Eligibility

You must be at least 18 years old or of legal age in your jurisdiction to use the platform. Underage users must have authorization from their legal guardians.

4. Registration and Account

To use the platform, you must create an account providing accurate, complete, and up-to-date information. You are responsible for:

Maintaining the confidentiality of your access credentials;
All activities carried out under your account;
Notifying us immediately in case of unauthorized use of your account.

5. Subscriptions and Payments

5.1. Subscription PlansHalk offers different subscription plans with specific features and limits, such as number of chatbots created, requests processed, or available integrations.

5.2. Payment CycleSubscription payments are made on a recurring basis (monthly or annually) and automatically charged to the payment method provided by the user.

5.3. Subscription CancellationUsers may cancel their subscription at any time through account settings. Cancellation does not entitle a proportional refund for the unused period, unless otherwise provided by applicable law or specific promotions.

5.4. Late PaymentsIn case of payment failure, Halk reserves the right to suspend access until payment is resolved. After 60 days, the account may be permanently deactivated.

5.5. Price ChangesHalk may change subscription plan prices. Users will be notified at least 30 days in advance of any change that impacts their current plan.

5.6. Purchase of Credits and Additional ServicesIn addition to subscription plans, Halk offers additional resources that can be purchased separately, such as extra credits to process requests or specific premium features.

6. Permitted Use

It is prohibited to use the platform to:

Create chatbots for illegal, fraudulent, or deceptive activities;
Use the platform to distribute offensive, defamatory, or violent content;
Violate third-party intellectual property rights or privacy laws.

7. Intellectual Property

All rights, titles, and interests related to the platform, including software, design, trademarks, and content, are the exclusive property of Halk. Content generated by chatbots shall be the property of the user, unless otherwise provided.

8. Data Security

Halk adopts technical and organizational measures to protect user data against unauthorized access, loss, misuse, or destruction. It complies with LGPD and GDPR.

9. Limitation of Liability

Halk is not liable for losses caused by errors in chatbots created by users, temporary interruptions to the platform, or illegal use by third parties. Halk's total liability is limited to the amount paid by the user in the last 12 months.

10. Warranty Restrictions

The platform is provided "as is", without warranties of any kind, including warranties of merchantability, fitness, or non-infringement.

11. Account Cancellation and Termination

Halk reserves the right to suspend or terminate accounts that violate these Terms. Users may terminate their account at any time, acknowledging the loss of data.

12. Modifications to Terms

We reserve the right to modify these Terms of Use at any time. Continued use of the platform after changes implies acceptance.

13. Applicable Law and Jurisdiction

These Terms are governed by the laws of Brazil, and any dispute shall be resolved in the jurisdiction of Porto Alegre/RS, unless otherwise required by law.

14. Third-Party Services

Halk may integrate with third-party services. The use of these services is subject to the terms and policies of the respective companies. Halk is not responsible for the content or availability of these services.

15. Feedback and Ownership of Improvements

Feedback submitted to Halk may be freely used for platform improvements, without compensation to the user. Derived improvements are the exclusive property of Halk.

16. Confidentiality

The parties agree to maintain confidentiality regarding commercial, technical, or financial information identified as confidential or that should reasonably be treated as such.

17. Force Majeure

Halk shall not be held liable for failures in fulfilling obligations caused by events beyond its control, such as natural disasters or cyber attacks.

18. Dispute Resolution

Disputes shall initially be resolved through negotiation. If no agreement is reached, mediation or arbitration shall follow, as required by law, before going to court.
